Knight-Swift Transportation Holdings Inc. Announces Appointment of Jessica Powell to Board of Directors and an Increase in Quarterly Cash Dividend
PHOENIX — (Trailer Technician) — Knight-Swift Transportation Holdings Inc. (NYSE: KNX): Knight-Swift Transportation Holdings Inc. (NYSE: KNX) (the “Company” or “Knight-Swift”) announced today that Jessica Powell has joined Knight-Swift’s Board of Directors (the “Board”) effective immediately. Ms. Powell will serve until the 2023 annual meeting of stockholders and will be subject to annual election thereafter. Ms. Powell was also appointed to the Audit Committee and the Nominating and Corporate Governance Committee of the Board.
Ms. Powell, 42, currently serves as Associate General Counsel for California Closet Company, Inc., a large custom storage business operating throughout North America. During her legal career, Ms. Powell gained extensive experience in legal, regulatory, compliance, and governance matters, and frequently advised clients on securities, finance, mergers and acquisitions, and intellectual property matters, amongst numerous other issues. Ms. Powell holds a Bachelor of Arts degree in International Relations from Stanford University and a Juris Doctor from the University of Chicago.
Increase in Quarterly Cash Dividend
The Company also announced that the Board has declared the Company’s quarterly cash dividend of $0.14 per share of common stock, which is a $0.02 increase from the Company’s existing quarterly cash dividend of $0.12 per share of common stock. The Company’s quarterly dividends are pursuant to a cash dividend policy approved by the Board. The actual declaration of future cash dividends, and the establishment of record and payment dates is subject to final determination by the Board each quarter after its review of the Company’s financial performance.
The Company’s dividend is payable to stockholders of record on March 3, 2023 and is expected to be paid on March 27, 2023.
